Price paid partly by issuing new shares

Burdarás hf. has purchased 305,938,652 of the shares in Ker and 446,816 of the shares in Egla.  The purchase price is ISK 10,725,000,000. ISK 725,000,000 is paid in cash, and ISK 10,000,000,000 is paid with shares in Burdarás, which is equal to ISK 609,756,098 at the nominal price of the shares thereof ISK 224,078,261 will be paid with Burdarás’ treasury shares, and ISK 385,677,837 will be raised by issuing new shares. The purchase is subject to an approval of the transaction as well as the issuing of new shares by a shareholder’s meeting of Burdarás.

Ker’s assets include a 100% share in Olíufélagid hf. and an-approximately 66% share in Samskip hf. Egla holds nearly 11% in Kaupthing Banki hf.


The biggest owners of the Grettir investment company are Landsbanki Íslands hf., Tryggingamidstödin hf., Sund ehf. and Nordic Partners ehf.


Landsbankinn is a primary insider in Burdarás.
